sum of Twenty Five Dollars (25.00), the receipt whereof is <br />hereby acknowledged, and other valuable consideration, Carbide <br />hereby grants and conveys to American Metal, its successors <br />and assigns, the right to maintain, operate and use, in <br />compliance with applicable requirements of Federal, State and <br />local governments and agencies having jurisdiction, the <br />above described adit across and through said Paradox A claim <br />for the purpose of mining ore from said Mineral Joe claims <br />and from other claims in the vicinity thereof. <br />2. American Metal represents and warrants that <br />no ore was encountered in the driving of said adit. It is <br />understood that American Metal shall have no right to stops <br />or mine ore from said Paradox A claim. <br />3. Carbide shall have the right at any reasonable <br />time to enter said adit with its surveyors and inspectors for <br />the purpose of inspecting and making a survey of the adit and <br />workings within the Paradox A claim and shall have the right <br />of ingress and egress from the portal of said adit for such <br />purpose, the same to be at the sole risk of Carbide or its <br />agents. <br />4. American Metal agrees to indemnify and save <br />Carbide harmless from and against all claims, damages, suits, <br />accidents and liabilities of whatsoever nature arising from <br />or in any way connected with American Metal's use and maintenance <br />of said adit. American Metal shall keep said Paradox A <br />claim free from all liens for material and labor purchased or <br />used by American Metal and shall post notice at the portal of <br />said adit that American Metal is solely responsible for <br />expenses incurred in constructing, maintaining and operating <br />said adit and that Carbide shall not be responsible therefor. <br />5.
