AGREEMENT FOR TRANSFER OF LAND TO <br /> U. S . FOREST SERVICE BY EXCHANGE <br /> THIS AGREEMENT made this tr day of May, 1996 between <br /> MID-CONTINENT RESOURCES, INC. and LOUTS M. LaGIGLIA as Trustee, <br /> hereinafter referred to as "OFFERORS" , WESTERN LAND GROUP, INC. , <br /> hereinafter referred to as "WESTERN" and UNITED STATES FCREST <br /> SERVICE, hereinafter referred to as "USFS" , <br /> W I T N E S S E T H: <br /> WHEREAS, USFS has identified as suitable for acquisition <br /> by the United States on a priority basis aporcximately 5, 800 acres <br /> of land located in Pitkin and Gunnison Counties , Colorado <br /> heretofore used by Offeror as part of the Coal Basin coal mines <br /> (identified as Coal Basin Lands) , <br /> WHEREAS, USFS has acquired approximately 3 , 450 acres of <br /> the Coal Basin lands through exchanges brokered by Western, any <br /> contemplates acquisition of the remainder of the Coal Basin land by <br /> similar exchange transactions , <br /> WHEREAS , USFS desires to acquire on a priority basis by <br /> exchange an additional tract in Coal Basin known as the "Prep Plant <br /> Tract" , more specifically described here=..^.aster subject to-title <br /> d=-ions , rec-amat_on env-rcnmental and other ccnc__-cn , <br /> ccn <br /> including selection and tender of a suitable exchange tract , <br /> WHERE:.S , it is in the interest of all parties that th e <br /> Prep Plant tract be transferred to USFS. r.u ::er the conditions <br /> hereinafter described on an expe:iced basis in order to provide <br /> funds to complete reclamation of disturbed areas and to meet . ne <br /> red _cements or `:^e Bankrupt 'J L1Qu� dat_Cr.
