7. Cooperation. The parties agree to cooperate in the future to substitute new legal <br />descriptions for the easements described above and in Exhibits C, D. E, and F, after the roadways <br />are built, so that the "as built" legal description of the middle line of the easements described <br />above shall be substituted for the original, intended legal description. <br />8. Each owner shall promptly repair any damage to the other party's real property <br />and/or improvement resulting from use of the easements granted herein by such owner or such <br />owner's licensees, invitees or permitees. <br />9. All easements granted herein shall be appurtenant to and for the benefit of the <br />property of the other party. <br />10. Indemnification. Each owner hereby agrees to indemnify, defend and hold <br />harmless the other owner from and against any and all claims, suits, actions, judgment, damages, <br />losses, and costs and expenses, including, without limitations, reasonable attorney fees and costs, <br />arising out of or relating to the use of the easement established herein by such owner or such <br />owner's licensees, invitees or permitees. <br />H. Covenants running with the Land. Each of the agreements, covenants, conditions, <br />and provisions contained in this Agreement shall run with the land and shall be for the benefit <br />and binding upon the parcels in the hands of the parties hereto and as successors or assigns; <br />provided, however, that each party's obligations under this Agreement shall be limited to those <br />obligations and the liabilities arising or accruing under this Agreement during such party's <br />ownership of the real property subject to this Agreement. <br />12. Option. In consideration of the respective promises and conveyances of access <br />rights set forth in this Agreement, JAK Ventures grants to the Reids an option to purchase <br />approximately six acres of land ("Option Parcel") from JAK Ventures for $1.00. This land lies <br />within Lot 8, Section 33, Township 12 South, Range 99 West of the 6`h PM, and adjoins the Reid <br />Property on the north side of Lot 1, Section 33, Township 12 South, Range 99 West of the 6t' <br />PM east of the Easement described in paragraph La of this Agreement, and adjoining the <br />Gunnison River at the west side of the river. A legal description of the Option Parcel is attached <br />as Exhibit G, and is labeled "Option Parcel" on the Map. This option may be exercised by the <br />Reids after completion of gravel mining operations on the Adjustment Parcel by Grand Junction <br />Pipe pursuant to its existing Gravel Lease by giving written notice to JAK Ventures, by and <br />through its manager Dennis Krueger, and shall expire on January 1, 2020. The Reids shall have <br />no right, by virtue of this option, to share in any gravel mining royalties on this land. The parties <br />will cooperate with each other in obtaining the appropriate approvals for a minor lot adjustment <br />or boundary adjustment from Mesa County consistent with the land use ordinances and <br />regulations of Mesa County, Colorado, and the parties shall share equally the expense of <br />obtaining these approvals. In the event that such land use approvals cannot be obtained after the <br />exercise of reasonable diligence, the parties agree to substitute a 99 year lease for the Adjustment <br />Parcel. <br />13. Notices. Any notice provided for by this Agreement or given by one party to the <br />other concerning this Agreement shall be in writing and shall be deemed sufficiently given if <br />4 L t?
