No Implied Waiver. Failure or delay of any party to exercise any of its rights <br />under this Agreement shall not constitute a waiver of any such rights. No party shall be deemed <br />to have waived any right under this Agreement unless such waiver is made expressly and in <br />writing, and no waiver made as to any instance or any particular right shall be deemed a waiver <br />as to any other instance or any other right. <br />15. Governing Law. This Agreement shall be governed by and construed and <br />enforced in accordance with the laws of the State of Colorado. This Agreement shall be given a <br />reasonable construction in light of the intention of the parties to provide easements as set forth <br />herein, subject to the conditions herein. <br />16. Entire Agreement. This Agreement shall constitute the entire agreement between <br />the parties hereto and any prior understanding or representation of any kind preceding the date of <br />this Agreement shall not be binding upon either party, except to the extent incorporated in this <br />Agreement. <br />17. Recording.
