1.21 The term "SECOND TIER SUBCONTRACTOR" shall mean any person or firm contracting with SUBCONTRACTOR, including his/its employers, agents and represen- tatives to perform WORK for SUBCONTRACTOR. 1.22 The term "WORK" shall mean the various obligations of the performance of the SUBCONTRACTOR including, but not limited to, providing all materials, supplies, equipment, small tools, supervision, labor, and services, if any, as set forth by the CONTRACT DOCUMENTS either expressly or implied, or the tangible product of SUBCONTRACTOR'S efforts, as contextually appropriate. 1.23 "WORK DIRECTIVE CHANGE" is a written directive to SUBCONTRACTOR, issued on or after the Effective Date of the Agreement by CONTRACTOR, ordering an addition, deletion or revision in the WORK. A Work Directive Change may not change the CONTRACT Price or the CONTRACT Time, but is evidence that the parties expect that the change directed or documented by a Work Directive Change will be incorporated in a subsequently issued Change Agreement following negotiations by the parties as to its effect. GC-2.0 ENTIRE AGREEMENT This CONTRACT sets forth the entire agreement between CONTRACTOR and SUBCONTRACTOR and supersedes all prior negotiations, bids, letters of intent or preliminary contract drafts. GC-3.0 SEVERABILITY If any portion of the CONTRACT is invalid, illegal or contrary to law, that portion shall be stricken and the remainder of the CONTRACT shall remain unaffected. GC-4.0 DESIGNATION OF REPRESENTATIVES SUBCONTRACTOR shall designate in writing a representative having the delegated authority to contractually commit SUBCONTRACTOR on all matters. Said representative shall be on the SITE or available at all times when WORK is actually in progress. CONTRACTOR has been employed by COMPANY to coordinate and manage the overall project construction requirements. In such capacity, CONTRACTOR will execute this CONTRACT on COMPANY'S behalf and represent COMPANY'S interest herein. SUBCONTRACTOR'S representative shall communicate on all matters, including all engineering questions, through the Resident Project Representative, who will also be designated in writing. GC-5.0 INDEPENDENT SUBCONTRACTOR SUBCONTRACTOR is an independent SUBCONTRACTOR and shall maintain complete control ' of and responsibility for its employees, agents, methods and operations.
