arties, but failing such agreement, rentals shall be determined __ <br />• by an independent and licensed real estate appraiser selected by <br />the parties, or, in default thereof, by the County Clerk and <br />Recorder for the county in which the Land is located. <br />9. Taxes. Lessor shall pay all taxes and assessments on <br />the Land and minerals in place, and Lessee shall pay all taxes, <br />for or with respect to, its equipment and improvements, together <br />with all taxes relating to, or arising by virtue of, Lessee's <br />anticipated, present or future mining activities. <br />10. Indemnity Compliance With Laws. Lessee agrees to hold <br />Lessor harmless from and to indemnify Lessor and each of them <br />against any and all loss, damage, claims, demands and causes of <br />action, including all costs and expenses incident thereto, for <br />injury to or death of persons whomsoever, or loss of or damage to <br />• property whatsoever, arising out of, resulting from, or in any <br />way connected with operations conducted under this Lease, except <br />those caused by any operations of Lessor on the Land or arising <br />from the sole negligence of Lessor or its agents. Lessee shall <br />conduct its operations on the Land in compliance with all appli- <br />cable laws, regulations and ordinances, and Lessee shall hold <br />Lessor harmless from any fines, penalties or liability resulting <br />from Lessor's failure to comply with such laws. <br />11. Default. If Lessee shall default in making any payment <br />or in the performance of any obligation hereunder, Lessor shall <br />not be entitled to proceed with any legal remedy therefor unless <br /> and until Lessor shall have first given written notice to Lessee <br />• of such default, sent by certified mail, "Return Receipt <br />- 10 - <br />
