Note here addresses on permits as issued
August 6. 1985 and November 12, 1985 identify permittee address as
9523 Sunshine Canyon Drive and not address of Gold Hill Mill.
It is also particulazly important to recognize that Gold Hill
Ventures and Gold Hill Ventures Limited Partnership are not the same
entity.
' Gold Hill Ventures was formed some time in 1982-83 as a
partnership between Mi Vida (Steen family corporation) and Cosmos
' Resources, inc., a Canadian corporation, Vancouver, British Columbia,
Canada (Cosmos) for the express purpose of pursuing what was
described as the "Gold Hill Project". This project was described as
' consisting of 117 patented and unpatented gold claims located within
Gold Hill mining district, Boulder County, Colorado.
t The purpose of this partnership (Gold Hill Ventures) was
described by Mi Vida as of January 12-13, 1982 as follows:
'To acquire contiguous mining properties in the Gold Hill area
to explore and develop the Cash Mine and these additional properties
and to commence a gold mining operation as soon as feasible".
This partnership was a joint venture in which Mi Vida and
Cosmos were to participate. In no way was this a limited partnership.
' The permit that issued on November 12, 1985 to Gold Hill Ventures
applied specifically to the mining operation. This mining operation
was an operation focusing upon the objective of the partnership
' between Mi Vida and Cosmos, in which Fraser and their successor in
interest, COM, Inc., had and has no interest.
' The permit has nothing to do with the Gold Hill Mill. The term
of art "milling accessory" appeazs to describe an activity associated
specifically with underground mining which appeazs associated with
