for damages arising out of injuries or damage to the property oP the Corporation or to person or property of others including Gas Company's employees as a result oP or in connection with the exercise and use by the Gas Company of the license and rights herein granted and the occupancy of the lands of the Corporation which are herein affected by said license. Specifically, but not by way oP limitation, the gas Company will indemnify and protect the Corporation with respect to nay and all liability established or alleged against the Corporation by third persons and occasioned by or arising as a result of the laying, constructing, reconstructing, replacing, renewing, removing, maintaining and operating said pipe lines and other appurtenances, or resulting Prom any act or omission - statutory or otherwise - oP the agents and employees oP the Gas Company. Neither the Corporation nor the Gas Company shall hava the right to pay or satisfy any claim oP any third party arising in connection with the use and exercise oP the license herein granted without first notifying the other party hereto. The Gas Company hereby agrees to insure the liability 'herein assumed by it is a responsible insurance company approved by the Director of Insurance of the Corporation with comprehensive general liability and property damage insurance with limits oP $300,000 in the aggregate, and said Gas Company hereby Further ~• agrees to provide the Corporation with a certificate of such insur- aace properly endorsed by the insurance company in which it speciPi- __cally agrees to include and assume the Foregoing contractual liabil- ity assumed by the Gas Company under this License Agreement, and said certificate shall also stipulate that the insurance carrier shall furnish to the Corporation ten (10) days written notice prior to any change, substitution or termination of coverage prior to the normal expiration date. - 3 -
