• - 36 - • <br />ARTICLE VIII <br />DISPUTE RESOLUTION'PROCESS <br />8.1 The parties agree that, prior to issuance of <br />a Special Use Permit for the Mine, the County and Western- <br />Utah will develop a Dispute Resolution Process to be uti- <br />lized by the parties in resolving disputes and disagree- <br />ments involving certain issues which may arise in imple- <br />menting this Agreement. When agreed to by the County and <br />Western-Utah, this Dispute Resolution Process shall be in- <br />corporated by reference herein and shall have the effect <br />of an amendment to this Agreement. <br />ARTICLE IX <br />APPLICABLE LAW <br />9.1 This Agreement is entered into in the State• <br />of Colorado and shall be construed and interpreted in <br />acco'rd'ance with the laws of the State of Colorado. <br />Judicial review of any controversy arising under or in <br />connection with this Agreement shall be available only <br />in a court of competent jurisdiction in the jurisdiction <br />where the cause of action arose. <br />ARTICLE X <br />ASSIGNMENT <br />10.1 This Agreement is not assignable by Western- <br />Utah without the express written consent of each Govern- <br />mental Entity which is a beneficiary of any provision of <br />this Agreement as of the date assignment is sought. <br />
