<br />• - 37 - • <br />ARTICLE XI <br />SECURITY FOR PERFORMANCE <br />11.1 Prior to the issuance of the Special Use <br />Permit for the Mine, Western-Utah will take certain steps <br />acceptable to the Governmental Entities to secure perfor- <br />mance of the obligations of Western-Utah and Deseret, <br />through Western-Utah, under this Agreement. Such steps <br />shall include, unless alternative arrangements acceptable <br />to the Government Entities are made by Western-Utah, the <br />following: <br />(1) Western-Utah will cause the Mine Operating <br />and Construction Agreement dated March 18, 1981 between <br />Western-Utah and Deseret ("the MOC Agreement") to be. amended <br />to provide that the costs of all obligations of western- <br />Utah and Deseret, through Western-Utah, hereunder shall <br />be :'Mining Costs" as defined in Section 2.1 of the MOC <br />Agreement and "Fixed Costs" as defined in Section 15.4 of <br />the MOC Agreement; <br />(2) Western-Utah will obtain from Deseret <br />an undertaking to become directly obligated to make any <br />payment not timely made hereunder by western-Utah, such <br />undertaking to be segregated from the obligations of <br />Deseret to general creditors in a manner satisfactory to <br />the Governmental Entities; <br />(3) Western-Utah and Deseret, through <br />Western-Utah, will, unless the cost thereof is unreason- <br />able, secure all payment obligations set forth under <br />paragraph 3.3 hereof by way of performance bonds, ir- <br />revocable letters of credit, or insurance, or by other <br />means acceptable to the Governmental Entities; the cost <br />
