performance by Lessee of any of its obligations hereunder. 7.2 Lessee will imdemnify and hold Lessor harmless from and against all loss, liability and expense (including reasonable attorneys' fees) arising out of any agreement made by lessee or any action taken by lessee that might cause any person to become entitled to a commission or compensation of any kind as a result of the transctions contemplated by this lease. 7.3 Neither Lessee nor any of its partners has made any assignment for the benefit of creditors, filed any petition in bankruptcy, been adjudicated insolvent or bankrupt, petitioned or applied to any tribunal for any receiver or trustee of it or any of its properties or assets, or commenced any proceeding under any reorganization, arrangement, readjustment of debt, dissolution, or liquidation law or statute of any jurisdiction; and no 'such action or proceeding has been commenced or threatened against lessee or any of its partners by any creditor, claimant, • governmental agency, or other person. Lessee shall promptly notify Lessor of any such action or proceeding arising or threatened during the term of this Lease. 7.4 This Lease has been duly authorized, executed and deivered by Lessee, and all instruments required to be delivered by liessee under this Lease shall be duly authorized, executed, and delivered by Lessee. ARTICLE VIII TITLE MATTERS 8.1 t e Lessor hereby warrants the title to the Leased Premises and Lessee's quiet enjoyment oP the same by, through or under Lessee, but not otherwise. 8.2 Removal of Liens. Lessee shall have the right to pay or assume any liens, encumbrances or charges incurred by Lessor or persons claiming by or under Lessor, against the Leased Premises, and any taxes and assessments on the Leased Premises or property situated thereon not herein specifically required to be paid by Lessee, and to deduct all sums so paid from any payments to be made by Lessee to Lessor hereunder.
