<br />actions of the Lessee or those claiming by, through or under it, with the workings thoroughly drained <br />and cleazed of rubbish, and with the Leased Premises ready for immediate continued working, or, <br />at UPLRC's option, Lessee shall reclaim the same in a manner required by law and acceptable to <br />UPLRC. The Lessee shall have ninety (90) days after such termination [o remove its equipment, <br />machinery, and tools from the Leased Premises and shall, within said period, upon notice from <br />UPLRC, remove the same; provided, however, that no such equipment, machinery or tools shall be <br />removed while the Lessee may be in any manner indebted to UPLRC under any obligation incurred <br />under this Lease. <br />Section 25. LESSEE NOT TO ASSIGN <br />The Lessee shall not sublease, transfer or assign this Lease, or any portion thereof, or any <br />rights or privileges hereby granted, without the prior written consent of UPLRC, and upon any such <br />sublease, transfer or assignment without UPLRC's prior written consent, whether by operation of <br />law or otherwise, UPLRC may, at its option, terminate this Lease. <br />Section 26. EFFECT OF TERMINATION <br />No termination of this Lease shall affect any rights or obligations which may have accrued, <br />or liabilities, accrued or otherwise, which may have arisen prior thereto. <br />Section 27. RECORDS <br />Lessee shall keep accurate written books and records of all Clay mined, removed, used or <br />sold by Lessee hereunder, including books and records showing the basis on which royalty payments <br />are made to UPLRC. UPLRC shall have the right, for the term of this Lease and for twenty-four <br />(24) months thereafter, during all regulaz business hours, to audit such books and records. <br />Acceptance of any royalty payment under this Lease shall not prejudice the right of UPLRC to <br />protest or question the correctness thereof. The officers, agents, and employees of UPLRC, at their <br />own risk and without liability to Lessee, shall have the right at all reasonable times to enter upon and <br />inspect the Leased Premises, and Lessee shall famish all reasonable assistance that may be required <br />in such inspection. <br />Section 28. TIME IS OF THE ESSENCE <br />Time is of the essence of this Lease in all particulars. <br />Section 29.
