<br />17.3 Lessee shall have 30 days from the date of receipt of such notice from <br />Owner Yo exercise their Right of First Refusal. In the event Lessee desires to exercise <br />their Right of First Refusal, they shall notify the Owner thereof in writing. <br />17.4 In the event Lessee exercise their Right of First Refusal to purchase any of <br />the above described properties which aze the subject of an offer to sell, the terms of <br />purchase and payment of the purchase price by contract, or proposal for the purchase of <br />any of the above described properties by any third party purchaser, or, in the alternative, <br />as Owner and Lessee may otherwise mutually agree between themselves in writing. <br />17.5 The date of closing shall be 30 days after the date that Lessee exercise their <br />Right of First Refusal by written notice to Owner. <br />17.6 In the event that lessee fail to exercise their Right of First Refusal as herein <br />set forth, then and in that event this Right of First Refusal shall become null and void, and <br />of no firrther force and effect. Provided, however, if the proposed sale by Owner to such <br />third person purchaser fails to close, and title to any of the above described properties is <br />not conveyed in accordance with the notice by Owner to Lessee, then this Right of First <br />Refusal shall remain in full force and effect as to any subsequern sale or offer for sale, <br />transfer, or conveyance of any of the above described properties by Owner. <br />17.7 The terms and wnditions set forth in this paragraph shall be binding upon <br />and enure to the benefit of the heirs and decederns of Owner and the successors and <br />assigns of Lessee. ' <br />17.8 This Right of First Refusal shall not apply to nor effect conveyance or <br />transfer of title to any of the above described properties by conveyance or inheritance to <br />Owner's heirs and descendants, but such person or persons shall take title to the above <br />described properties subject to this Right of First Refusal. <br />18. ENTIRE AGREEMENT. The written Lease contains the entire and only <br />agreement between Owner and Lessee relating to the subject matter of this Lease, and no <br />oral statements or represernations not contained in this Lease shall be of any force and <br />effect between parties. This Lease shall not be modified or amended in any manner except <br />by written instrument executed by the parties. <br />19. VENUE AND CHOICE OF LAW. This Lease is entered into in <br />Gunnison County, Colorado and it is agreed that the exclusive jurisdiction and venue of <br />any action pertaining to the interpretation or enforcement of the Lease shall be in the <br />District Court of Gunnison County, Colorado. The choice of law pertaining to this <br />transaction shall be exclusively that of the State of Colorado. <br />5. <br />
