United shall have no obligation <br />to improve or replace such scales and scale house, but shall <br />perform such maintenance as is necessary to maintain state <br />certification of the scales during the term of this Lease, at United's <br />expense. Skelton shall have no obligation to maintain or replace <br />the scales or scale house, but may use them in 1996 to complete <br />existing contract obligations. <br />2.4 The State of Colorado and the Weeminuche <br />Company own separate stockpiles of sand and gravel on the Leased <br />Premises. United will honor Skelton's commitment to the State <br />and the Weeminuche Company to permit such stockpiles to remain . <br />on the Leased Premises for the respective terms provided in <br />Skelton's written agreements with them, true copies of which have <br />been provided by Skelton to United. Skelton will indemnify and <br />hold harmless United for the costs and expenses (including <br />reasonable attorneys' fees) of enforcing the removal or forfeiture <br />of such stockpiles after such terms have expired, if deemed <br />necessary by United. <br />2.5 In addition to the Leased Premises, Skelton hereby <br />assigns to United all its right, title and interest in and to a leased <br />site near Egnar, Colorado, for the stockpiling of sand and gravel or <br />related products. Such site is described on attached Exhibit B, and <br />consists of approximately three (3) acres. Skelton represents and <br />warrants that it has the right and authority to make this assignment. <br />All required lease payments for such site have been prepaid by <br />Skelton, and no additional payments shall be required from United. <br />~`}~-` _~ 2.6 Skelton warrants to United that it is the owner of 20 <br />~~~~°'"L-~o ~~~ ~= shares of Farmers Water Development, which represents 2/Sths of <br />one cfs.
