PURCHASE AND SALE OF REAL PROPERTY <br />AGREEMENT <br />THIS AGREEMENT for the Purchase and Sale of Real property and improvements, is between <br />FREM0NT PAVING & RED I -MIX, INC, thereinafter referred to as "Purchaser"), and PIKES PEAK HOME <br />CENTER, INC_ (hereinafter referred to as "Seller"). Purchaser and Seller may be referred to collectively <br />herein as the "Parties". This Agreement sets forth the negotiated and agreed to terms and conditions for <br />the purchase and sale of real property and improvements as more fully described below, and further <br />sets forth the agreement of the Parties for an option to purchase other real property in the alternative, <br />or additionally. The Parties intend by this Agreement to fully state their Agreement as to conditions, <br />easements, restrictions and limitations which are created by this agreement and will survive the closing. <br />in the event of a dispute regarding the Parties agreement for the purchase and sale of the property, <br />including the option related property, this Agreement shall control. <br />1. Assignability and Inurement. <br />This Agreement may be assigned by Purchaser to a related entity without Seller's prior consent. Except <br />as so restricted, this Contract inures to the benefit of and is binding upon the heirs, personal <br />representatives, successors and assigns of the Parties. <br />3. Seller's Title and legal Description <br />Seller is the legal and record owner of the real property and improvements to be conveyed to Buyer. <br />For the purposes of this Agreement thV$/Operty is described as Option A and Option 8. The Purchase <br />Price agreed to by the Parties is fora#-l� Option A. Purchaser is prohibited from purchasing less than all <br />of Option A, or all of Option B, a if Purchaser so elects all of Option A and B. A surveyed legal <br />descriptions shall be provided at or before closing using a metes and bounds description method, or <br />such other descriptive method as a licensed professional land surveyor shall elect to use_ <br />Option A: <br />Pueblo County Assessor Parcel Numbers 1300000142 (approx. 80 acres,); and Pueblo County Assessor <br />Parcel Number 1300000188 (approx. 234.57 acres,), less portion on Fields Road (marked as C on the <br />map) to be determined by survey.
