Option R: <br />Pueblo County Assessor Parcel Numbers 1300000137, 1300000142 and 1300000184 <br />together with the interests, easements, rights, benefits, improvements and attached fixtures <br />appurtenant thereto, and all interest of Seller in, except as herein excluded herein. <br />(Attached hereto as Exhibit 1 is Pueblo County Assessor Map with Parcels identified by number). <br />Inclusions <br />The Purchase Price includes the following items (Inclusions): /70 lie <br />Purchase Price <br />The purchase price shall be not less than one hundred twenty-six thousand dollars and no cents <br />($125,000.00) for Option A. Purchase Price for Option B shalt be calculated at four hundred dollars and <br />no cents ($400.00) per acre times the total number of acres in Option B as determined by professional <br />land survey. Said Purchase price shall be paid as follows, and at all times Purchaser agrees to cooperate <br />and assist Seller with Seller's desire this transaction be treated as an IRC §1031 exchange. <br />1. On acceptance and execution of this Agreement, Purchaser shall pay Seller : as a <br />non-refundable earnest money deposit. Seller intends to treat this transaction as an IRC §1031 <br />exchange. At the time this Agreement is accepted and executed, the parties shall cooperate to establish <br />an escrow account with Fidelity National Title Insurance Company's Pueblo, CO office. All payments by <br />Purchaser shall be made payable to the escrow account. <br />2. The balance of shall be paid Seller, or at its direction, to the <br />aforementioned escrow account with Fidelity as part of the §1031 exchange, within thirty (30) days after <br />final approval by the Pueblo County Board of County Commissioners (ROCC) Purchaser's request for <br />issuance of a Special Use Permit {SLIP) for its property located east of 44h Lane, Pueblo County, CO. <br />3. Irl any event, the balance due Seller shall be paid in full not more than thirty-six (35) <br />months after the date of acceptance and execution of this Agreement. In the event Purchaser does not <br />make payment within the specified time period, this Agreement shall be terminated and thereafter <br />Purchaser shall have no legal right or interest in the describe real property. <br />Water Ri hts Well Ri hts Water and Sewer Ta Ps <br />Purchaser shall acquire and Seller shall convey by this Agreement any and all water rights, if any so exist, <br />which run with the land. Seller shall not reserve or Ii mit by this Agreement water rights, if any, which run <br />with and are a part of the property subject to this Agreement. Water rights, if any, shall be conveyed to <br />Purchaser by Quit Claim Deed at time of closing. <br />
