The Oversight Committee will be responsible for review and approval
of the recovery program's long range plan, annual work plans, and for
providing a forum for resolution of issues and problems that might arise
during implementation of the program. It is anticipated that the Oversight
Committee will meet at least annually.

Under this program, all implementing parties will carry out the Oversight
Committee's recommendations if, in the parties' independent judgment, the
recommendations are justified. If any party finds the recommendations are not
justified, they will report their position to the Oversight Committee in
writing. The Oversight Committee will be given sufficient time to resolve any
problems. If issues cannot be resolved at the committee level, those issues
will be referred to the signatories to the Cooperative Agreement for
resolution.

36
