<br />(b) A default by Licensee and Licensor's election to terminate this Agreement under <br />Article xu. <br /> <br />ARTICLE V: INSPECTIONS <br /> <br />Licensor or its agents expressly reserve the right at all reasonable times to enter into and <br />upon the property of Licensee for the purpose of inspecting any computer equipment, <br />software, databases, and any other products and materials associated with the GIS or <br />Licensee's use of the GIS. Further, the Licensor or its agents shall have the <br />right to conduct these inspections by remote access. <br /> <br />ARTICLE VI: LICENSE FEES; EXPENSES <br /> <br />Section 6.01. General. At the execution of this Agreement, Licensee shall pay <br />Licensor the sum of THOUSAND and NO/IOO DOLLARS ($_,000.00) as a <br />license fee for the Original Tenn. <br /> <br />Section 6.02. License Fee for Extended Term. Upon receipt by Licensor of <br />Licensee's notice of extension, as provided for in Section 4.02, above, Licensor shall <br />deliver to Licensee an Amendment to this Agreement which shall state the terms and <br />conditions, including any changes in the license fee, which shall be applicable during the <br />Extended Term. Licensee shall execute the Amendment and pay the Extension <br />fee at least thirty (30) days prior, t.o the commencement of the' Extended <br />Term. <br /> <br />, , <br /> <br />Section 6.03. Licensee's Obligations Unconditional. The obligations of <br />Licensee to make payment of the license and other fees required under this Article VI, and <br />to perform and observe the covenants and agreements contained herein, shall be absolute <br />and unconditional in all events, except as expressly provided under this Agreement. <br />Notwithstanding any dispute between Licensee and Licensor, any vendor or any other <br />person or entity, Licensee shall make all payments of license and other fees when due and <br />shall not withhold any payments pending final resolution of such dispute. <br /> <br />Section 6.04. Payments for Consumables. Licensor shall invoice Licensee not <br />less than monthly for the actual costs incurred by Licensor for Licensee's use of <br />consumable items including, but not limited to, ploner supplies. Licensee shall pay said <br />invoices not later than thirty (30) days from the date thereof. <br /> <br />ARTICLE VII: TITLE TO GIS <br /> <br />Section 7.01. Title to Licensed Material. During the term of this Agreement, title <br />to all components of GIS and any and all additions, repairs, replacements, or modifications <br />thereto shall remain in Licensor, subject to Licensee's rights to use components of the GIS <br />as set forth in this AgreemenL In the event of default as set forth in Section 12.01, <br />Licensee will forthwith execute a document cancelling this Agreement and surrendering all <br />rights which Licensee haS hereunder.
