<br />ARTICLE vm: MAINTENANCE; TAXES; INSURANCE; OTHER <br />CHARGES <br /> <br />Section 8.01. Maintenance of GIS. Licensor and Licensee agree that at all times <br />during the License Tenn, Licensor will maintain, preserve, and keep the GIS in good <br />repair, working order, and condition, and that Licensor will from time to time make or <br />cause to be made all necessary and proper repairs, replacements, and renewals. This <br />obligation to repair and maintain shall only extend to those facilities of GIS from the CPU <br />up to the point of connection with Licensee's communication network as described in <br />Section 3.04. This, obligation to msaintain shall not in any way obligate <br />Licensor to take any specific action with respect to the database(s) of the <br />GIS. Licensee shall maintain, preserve, and keep all facilities from the point of connection <br />to the User's GIS operations. Licensee shall enter into such maintenance contracts as <br />Licensor may reasonably require with vendors or appropriate service organizations <br />approved by Licensor. <br /> <br />Section 8.02. Taxes, Other Governmental Charges, and Utilities Charges. <br />In the event that the use of the GIS is found to be subject to taxation in any fonn, Licensee <br />will pay during the License tenn, as the same respectively come due, all taxes and <br />governmental charges of any kind whatsoever that may at any time be lawfully assessed or <br />levied against or with respect to its rights to use the GIS as well as utility and other charges <br />incurred in the operation, maintenance, use, and upkeep of the GIS from the point of <br />connection to Licensee's GIS operation; provided, that with respect to any governmental <br />charges that may lawfully be paid in installments over a period of years, Licensee shall be <br />~ obligated to pay only such installments as have accrued during the time this Agreement is in <br />,0 effect. ' " <br />~ <br />.... Section 8.03. Provisions Regarding Insurance. At its own expense, .Licensee <br />shall cause casualty, public liability, and property damage insurance to be carried and <br />maintained, or shall demonstrate to the satisfaction of Licensor that adequate self-insurance <br />is provided sufficient to protect the Full Insurable Value (as that tenn is defined below) of <br />the GIS components within its faGilities or under its direct control or supervision, and to <br />protect Licensor from liability in all events. All insurance proceeds from casualty losses <br />shall be payable as hereinafter provided in this Agreement. Licensee shall furnish to <br />Licensor certificates evidencing such coverage throughout the License Tenn. Alternatively, <br />Licensee may fulfill its requirements under a blanket insurance policy or policies which <br />cover not only its components of GIS but also other properties. If Licensee shall insure <br />similar properties by self-insurance, Licensee will insure its components of GIS by means <br />of an adequate insurance fund. <br /> <br />The tenn "Full Insurable Value" as used herein shall mean the full replacement value of the <br />GIS components described above in this Article VIII. <br /> <br />Any insurance policy required by this Section 8.03 shall be so written or endorsed as to <br />make losses, if any, payable to Licensee and Licensor as their respective interests may <br />appear. The Net Proceeds (as defined in Section 9.0 I) of the insurance required by this <br />Section 8.03 shall be applied as provided in Article IX hereof. Each insurance policy or <br />written evidence of self-insurance provided for in this Section 8.03 shall contain a <br />provision to the effect that the insuring pany shall not cancel the policy or modify it <br />materially or adversely to the interest of Licensor without first giving written notice thereof <br />to Licensor at least twenty (20) days in advance of such cancellation or modification. <br />.' <br /> <br />s <br />
