<br />" <br /> <br />Section 3.02. Rights of Licensee. Licensee shiill have the right to connect to the <br />GIS central processing unit (CPU) a maximum of devices. The devices may <br />include microcomputers, workstations, plotters, or digitizers. Licensor shall approve all <br />devices before they are connected to the GIS. Licensee shall not install emulation, <br />communications, or other software on any device without the prior written approval of <br />Licensor. <br /> <br />If:) <br />o <br />,~ <br />~ <br /> <br />Under this Agreement, Licensee shall have the right to _ hours of CPU time during <br />Peak Hours. Licensee shall also have the right to use the CPU for up to hours <br />of non-peak. time each calendar week. <br /> <br />Licensee shall have no right to update the GIS database in any manner. Licensor shall <br />cause work spaces to be established on the CPU for Licensee's use. When Licensee uses <br />the GIS, Licensee shall copy any coverage, or portion thereof, which it wishes to use, into <br />its work space and shall only work on the copy. Licensee shall not replace a modified <br />coverage, or portion thereof, in the GIS database. Licensee shall be fully responsible for <br />any and all actions on its part, or on the pan of any of its employees, agents, or contractors <br />which cause any unauthorized changes in the GIS database. <br /> <br />Section 3.03. Communications Facilities. Licensor shall have the responsibility <br />to install such communications facilities as may be reasonably necessary to permit Licensee <br />to have access to the GIS as contemplated by this Agreemenl Licensor shall install those <br />facilities from Licensor's CPU to a mutually agreeable access point in Licensee's <br />communications network. Licensee shall be responsible for installation and maintenance of <br />any communications facilities from the point of connection to its GIS operations. Licensee <br />shall maintain its communications facilities in such a way that ,there can be no infIltration of <br />the GIS by any unauthorized means, and shall indemnify Licensor for any damage caused <br />by a breach of this express warranty. <br /> <br />Section 3.04. Additional Users. Nothing in this Agreement shall preclude Licensor <br />from extending access to the GIS to other licensees. <br /> <br />ARTICLE IV: LICENSE TERM <br /> <br />Section 4.01. Commencement of License Term. The Original Term of this <br />Agreement shall commence on the first calendar day of the month subsequent to the <br />execution of this Agreement and shall continue until the last day of Licensor's then-current <br />fiscal year. <br /> <br />Section 4.02. Extension of the License Term. The Term may be extended at the <br />end of the Original Term or any Extended Term for an additional period of one year (herein <br />"Extended Term"), upon Licensee's written notice to Licensor of Licensee's intention to <br />extend this Agreement not less than ninety (90) days prior to the end of the Original Term <br />or any Extended Term then in effect. The terms and conditions during any Extended Term <br />shall be as stated in the amendment described in Section 6.02. <br /> <br />Section 4.03. Termination of Term. The License Term will terminate upon the <br />earliest of any of the following events: <br /> <br />(a) The expiration of the Original Term or any Extended Term of this Agreement; <br /> <br />3 <br />
