<br />"License Term" means the Original Tenn or any Extended Tenn provided for in this <br />Agreement under Article IV. <br /> <br />"Licensor" means (i) [Agency]; (ii) any surviving, resulting or transferee entity; and (ill) <br />assignee(s) of Licensor to which rights under this agreement may be assigned. <br /> <br />"Original Tenn" means the period from the Commencement Date until the end of the fIscal <br />year of Licensor in effect at the Commencement Date. <br /> <br />"Peak Hours" sball mean tbe bours of 7:30 AM to 6:30 PM, Monday <br />tbrougb Friday, Licensor's normal bolidaysexcepted. <br /> <br />ARTICLE ll: COVENANTS OF LICENSEE <br /> <br />Licensee represents, covenants and warrarits, for the benefIt of Licensor, its successors and <br />assigns, as follows: <br /> <br />(a) Licensee will do or cause to be done all things necessary to preserve and keep in <br />full force and effect this Agreement, and will faithfully and promptly fulfIll its <br />duties hereun~r. <br /> <br />(b) Licensee has been duly authorized to execute and deliver this Agreement under the <br />tenns and provisions of the resolutions of its governing body, attached hereto as <br />Exhibit B, and further represents, covenants, and warrants that all requirements <br />have been met, and procedures have occurred in order to ensure the enforceability <br />of this Agreement. <br /> <br />(c) During tbe term of tbis Agreement, tbe Licensee sball recognize and -- <br />honor the licensing agreements, copyrights, and other proprietary <br />claims for software, databases, collateral information, and products <br />established by Licensor or the vendors to the GIS. <br /> <br />(d) During the period this Agreement is in force, Licensee will quarterly provide <br />Licensor, in a fonnat specifIed by the Licensor, a report on the usage of the GIS, <br />the types of products and services generated, an estimate of the costs of such <br />products and services, and an estimate of any costs that may have been incurred if <br />the GIS had not been available. On a quarterly basis, the Licensee shall also <br />, provide the Licensor an estimate of anticipated usage of GIS for the next four <br />quarters. <br /> <br />\I <br /> <br />.' <br /> <br />..,:'.' <br /> <br />ARTICLE III: LICENSE OF GIS; RIGHTS AND DUTIES OF LICENSOR <br />AND LICENSEE <br /> <br />Section 3.01. License of GIS. Licensor hereby grants Licensee a non-transferable, <br />non-exclusive license to utilize, for the limited purposes and on the conditions hereinafter <br />stated, the GIS, for the Original Tenn and for such other Extended Tenns over which this <br />Agreement may be extended.
