<br />,> <br /> <br />.> <br /> <br />GEOGRAPHIC INFORMATION SYSTEM <br />LICENSE AGREEMENT <br />(On-line Access) <br /> <br />MADE AND EN1ERED INTO this <br /> <br />day of <br /> <br />.1992, <br /> <br />BY AND BE1WEEN <br /> <br />IAGENCY], a municipal corporation organized and existing under the laws of the State of <br />Colorado, having as its principal address <br />("Licensor") <br /> <br />AND <br /> <br />[USER], a [corporation] duly organized and existing under the laws of the <br />, and having as its principal address <br />("Licensee"). <br /> <br />WITNESSETH THAT: <br /> <br />WHEREAS, Licensor has developed a [Agency] Geographic Information System <br />(hereafter GIS); and <br /> <br />~ <br />Cl <br />ctl <br />... <br /> <br />'WHEREAS, Licensee desires to license the GIS, as hereinafter defmed, ,fr.om Licensor, <br />and Licensor is willing to grant said license to Licensee, subject to the terms and conditions <br />and for the pwposes set forth in this License Agreement; and <br /> <br />NOW, THEREFORE, for and in consideration of the mutual covenants and promises <br />herein contained, and for other good and valuable consideration, the receipt and sufficiency <br />of which are hereby acknowledged, each of the parties hereto, intending to be legaUy <br />bound hereby, covenants and agrees as follows: <br /> <br />ARTICLE I: DEFINITIONS <br /> <br />The following terms will have meanings indicated below unless the context clearly requires <br />otherwise: <br /> <br />"Agreement" means this License Agreement; including the Exhibits attached hereto, as the <br />same may be supplemented or amended from time to time in accordance with the terms <br />hereof. <br /> <br />"Commencement Date" means the date when the term of this Agreement begins and <br />Licensee's duty to perform its obligations hereunder accrues. <br /> <br />"GIS" means the Geographic Infonnation System developed by [Agency] which includes <br />but is not limited to the computer equipment and peripheral devices, computer software, <br />digital databases and supporting infonnation, telecommunications, associated development, <br />and system operation and maintenance, more particularly described' in Exhibit A.
