WHEREAS, the Contractor was selected as the most highly
qualified among no less than three persons ranked in order and
deemed to be most highly qualified to perform the required
professional services based on factors listed in section 24-30-
1403, C.R.S.; and

WHEREAS, the Contractor shall perform services involving the
practice of engineering as defined in section 12-25-102 (10),
C.R.S.; and

WHEREAS, all State personal services contracts are subject
to immediate termination as a result of court orders in the
cases of Colorado Association of Public Emplovees ("CAPE") v.
Department of Personnel, CAPEv. Department Hiqhwavs, and CAPE
v. Reqents of the Universitv of Colorado; and

NOW THEREFORE, it is agreed by the parties hereto as
follows:

A. The Scope of Services, Project Schedule, and Work Products
are defined in Exhibits A, B, and C, respectively, which
Exhibits are attached and incorporated herein.

B. The Contractor agrees that it shall:

1. Conduct a needs analysis and feasibility study for a
Colorado River Decision Support System in accordance with the
Scope of Services, Exhibit A. The Scope of Services shall not
be modified without written amendment to this agreement.

2. Cause this project to be fully completed by December 31,
1992. Work will progress pursuant to the guidelines set out in
the Project Schedule, Exhibit B. In its sole discretion, the
State may grant a written extension for the time of completion
of the project.

3. Provide the State with the number of copies of the Work
Products as stipulated in Exhibit C. Provide the State with a
progress report summarizing the results of tasks 1 through 8 by
November 2, 1992. A draft feasibility study will be due to the
State on December 1, 1992. The final feasibility study report,
will be due to the State by December 31, 1992.
