NOTICE PURSUANT TO BANKRUPTCY RULE 4001 OF
DEBTOR'S MOTION TO OBTAIN CREDIT AND TO APPROVE
SUBORDINATION AGREEMENT

Notice is hereby given that the Debtor has applied to this
court for an order approving an agreement between the Debtor and
the state of Colorado whereby the state of Colorado would loan
to the Debtor the sum of $45,000.00, at an interest rate of 3%
p~r annum, and which funds would be used for rehabilitating the
Pole Mountain Dam and Reservoir, located on the Debtor's ranch
in Jackson County, Colorado. The Motion also seeks approval of a
subordination agreement whereby the Farm Credit Bank would
subordinate liens, mortgages or deeds of trust it may_ have to the
Deed of Trust to be given to the state of Colorado as collateral
for the above described loan. A copy of the Motion is enclosed
with this Notice.

If you desire to oppose this action you must file a written
objection and request for a hearing with the Court on or before
~of September, 1993, and serve a copy thereof upon the
attOrney named below. Objections and requests for hearing shall
clearly specify the grounds upon which they are base, including
the citation of supporting legal authority, if any. General
objections will not be considered by the court.

In the absence of a timely and substantiated request for
hearing by an interested party, the Court may approve or grant
the aforementioned Motion without further notice to creditors or
other interested parties.
