6. Farm Credit Bank holds mortgages and/or deeds of trust which
encumber or may encumber the Reservoir, and the immediately
surrounding land, which the Debtor desires to pledge as
collateral to the state of Colorado in order to obtain the
funds described above. The state of Colorado requires a
first and prior lien on the subject property.

7. The Farm Credit Bank has agreed to subordinate any mortgages
or deeds of trust which encumber or may encumber the
property, together with the reservoir storage rights,
improvements to be made, and other rights pertaining
thereto. A copy of the Subordination Agreement is attached
hereto and marked as Exhibit B. The attached Subordination
Agreement is in sUbstantiallY the form the Debtor proposes
to execute upon approval hereof.

8. The property and water rights which will be subordinated to
the State of Colorado are described as follows:

SW 1/4 of SE 1/4 of section 5
SE 1/4 of SE 1/4 of section 5
NE 1/4 of NE 1/4 of Section 8
NW 1/4 of NW 1/4 of Section 9
W 1/4 of SW 1/4 of SW 1/4 of section 4
Township 6 North, Range 81 West of the 6th P.M.
County of Jackson, State of Colorado

Consisting of 180 acres, more or less; together
with the reservoir storage rights, improvements to
be made, and all easements and other rights
pertaining to it.

9. This motion is made pursuant to Bankruptcy Rule 4001(c) and
Bankruptcy Rule 4001(d) (E) .

Wherefore, the Debtor requests that the Court enter an
order consistent with the provisions of this motion.
