General Provisions. The president of the District shall constitute and appoint committees, as he~eafter set forth, to advise and make recommendations. to the Board of Directors and to ass~st in the 8uperv!sfon, management, and cont~ol of the affairs of the. District. The committees which shall be constituted and Dppointed are the fOllowing: Executive Committee: Employee Wage Committee: Retirement Committee (Employees): Retirement Committee (Board of Directors): Rate and Policy Co~ittee: and Finance Committee. ~he8e committees shall be constituted and appointed by the. President at the regula~ meeting of the Bo#rd of Directors held in the month of May o~ June of each year. The committees shall have the membership, duties, and powers set foreh in the remaining Sections of this A~ticle III. Section 2. Meetings and Minutes. d.. Meetings. Meetings of each committE.'e shall be held at such times and places as the Chairms.n of the Committee, .wit;h the ~ppr~val of the presi,dent of the Distr.ict,. may direct. Spacial meetings of each ComJllittee may be called by the Chai~man of the Committee or the President of the District, and may be held at any time and place, provided that written notice is delivered to the residence of, or oral notice. is given to, each Committee member at least twenty-four hours prior to the meeting. b.. Quorum.. A majority of each Committee shall constitute a quorum for that Committee, provided that if les8 than such majority is present at a properly called meeting, a majority of the Committee members present may adjourn the meeting f~c~ time to time: and pro~ided further, that the Chairma~ of the. Committee shall notify the absent members of the time and place of such adjourned meeting.. A decision or recommendation of the majority of th~ Committee members present at A meetinq at which a quorum is present shall be the decision or recommendation of the Committee. c. Membership_ The Executive Committee shall consist of the current President, Vice-President, secretary, Assistant Secretary, and Treasurer of the District, together with the immediate past-President of the District. rhe' current President of the District shall serve as the Chairman of the Executive Committee.. b.. Duties and powers. The Executive Committee shall work with and advise the Manager of the District on urgent matters when the full Board of Directors cannot be called together. and may advise and counsel ttle Oistrict's staff on the day-to-day operations of the District.
