It is understood and agreed that this contract is personal in nature and may not be sold, assigned, or otherwise transferred to any other person or entity without the express written appr~val of the State. 6. "It is understood and agreed that thc Contractor is an independent consult,ant, not an employee of the State. As such, neither the Contractor nor any of its employees shall receive any of the bene- fits of the State personnel system nor have any claim therefor whatsoever. 7. Mr. J. William McDonald, Director, Colorado Water Conservation Board, Department of Natural Resources,' shall be the State f s project manager for this contract. As such, he shall have the authority on behalf of the State to iqsuc, orally or "in writing, directives to the Contractor with reg~rd to such matters as are specified to,be at, or are left at, the State's discretion in Exhibit A, Scope of Services. He shall also have the authority to act for the State in making changes to the scope of services to be performed by the Contractor pursuant to the procedure for making such changes which is set forth in: Exhibit A, Scope of Services. 8. This contract shall automatically tenninate ;on September 30, 1981, unless extended in writing by mutual agreement of the parties hereco. This contract may be terminated, with or without cause~ by either party upon 15 days notice in writing to the other party. 9. All: a.nalyses; written, typed, printed, and drafted products; visual aids; computer programs and output; and other information and.data gathered, generated, or otherwise produced by "he Contractor during the performance of this 'contract shall become the property of the State and shall be delivered to the State by the Contractor UpDU demand. ., - , .'
