<br />A. The final paYlUcni: of $10,000.00 shall be withheld by the State
<br />until the final ,,1' the final report which is required by
<br />Exhibit A, Scope of Service::;) but; been l-cccived and accepted
<br />by the State. Upon acceptance of said report, th~ State
<br />shall so indicate its acct!ptance in writing, whereupon the
<br />Contractor shall submit i.t~ invoice for the final $10 ,000.00
<br />payment.
<br />
<br />B. Tne Contractor shall, ei.ther upon I:he face of I::.e invoice
<br />submil:teil for the final $10,000.00 payment, :or by separate
<br />letter, indicate that it has no further claim to make for
<br />compensation or reimbursement tIue it: pursuant to the terms of
<br />this contract.
<br />
<br />3. All services performed and expenses incurred by the Contractor
<br />shall be included within the fixed ~um payment of $200,000.00.
<br />Such services and expenses shall include, but not be limited to,
<br />professional and clerical services; travel, meals, lodging, and
<br />incidental travel expenses; expenses for c.xpendable materials and
<br />supplies; computer charges) expenses .for report preparation and
<br />reproduction; direct and indirect overhead; and the firm's profit.

<br />4. In the event that this contract is terminatl:<1 by either party
<br />pursuant to paragraph 8 below prior to the completion of the
<br />analyses and products specified in Exhibit A) Scope of Services)
<br />the Contract;or shall be entitled to corupensal:ion for only such
<br />services as were <lCtuillly performetl by it and such expenses as
