<br />I, <br /> <br />. <br /> <br />. <br /> <br />Section 3. Board of Directors - Meetings. The Board of <br />Directors shall meet preferably on Wednesday on a quarterly basis <br />through the year, or such other times as special meetings are <br />called. Such meetings shall be held at such public places as the <br />Board shall elect. <br /> <br />Special meetings of said Board may be called by the <br />President, or in his absence, by the Vice-President, or by any two <br />Directors. <br /> <br />Notice of said special meetings must be given <br />personally or by mail at least two days before such meeting. <br /> <br />Said notice by mail shall be addressed to the last <br />known Post Office address of each Director. <br /> <br />ARTICLE II. OFFICERS AND EMPLOYEES. <br /> <br />Section 1. Officers. The officers of said District <br />shall consist of a President, a Vice-President, a Secretary and <br />Treasurer. The President and Vice-President shall be chosen from <br />th~ members of the Board of Directors. Other officers mayor may <br />not be members of the Board of Directors. The officers are to be <br />chosen by the Board of Directors at the regular January meeting of <br />the Board in each year. Officers shall hold office until their <br />successors are appointed and enter upon the duties of their <br />offices, unless sooner removed for cause. Vacancies may be filled <br />at any time by the Board of Directors. <br /> <br />Section 2. Duties of Officers - President. It shall be <br />the duty of the President to preside at all meetings of the Board. <br />of Directors and to sign all agreements or other instruments of <br />writing on behalf of the District, along with Secretary and <br />Treasurerl to sign all checks or orders directed to the Treasurer <br />for the payment of money and to perform any other duties <br />ordinarily incident to the office. <br /> <br />Section 3. Vice-President. In the absence of the <br />President, the Vice-President will perform the duties of the <br />President and such other duties as may be assigned to him by the <br />Board of Directors. <br /> <br />Section 4. Secretary. The Secretary shall give due <br />notice of all meetings of the Board of Directors, and shall keep <br />proper books of record for the business of the District as the <br />Directors may prescribe. The Secretary shall register all <br />allotments, contracts, and transfers of the right to use water. <br />The Secretary shall be the custodian of the books and corporate <br />seal of the District and shall perform any and all other duties as <br />are incident to the office. One person may hold the office or <br />offices of Secretary and Treasurer and mayor may not be a member <br />of the Board of Directors. The Secretary may sign checks as <br />authorized by the Board of Directors. <br /> <br />-2- <br />
