I, . . Section 3. Board of Directors - Meetings. The Board of Directors shall meet preferably on Wednesday on a quarterly basis through the year, or such other times as special meetings are called. Such meetings shall be held at such public places as the Board shall elect. Special meetings of said Board may be called by the President, or in his absence, by the Vice-President, or by any two Directors. Notice of said special meetings must be given personally or by mail at least two days before such meeting. Said notice by mail shall be addressed to the last known Post Office address of each Director. ARTICLE II. OFFICERS AND EMPLOYEES. Section 1. Officers. The officers of said District shall consist of a President, a Vice-President, a Secretary and Treasurer. The President and Vice-President shall be chosen from th~ members of the Board of Directors. Other officers mayor may not be members of the Board of Directors. The officers are to be chosen by the Board of Directors at the regular January meeting of the Board in each year. Officers shall hold office until their successors are appointed and enter upon the duties of their offices, unless sooner removed for cause. Vacancies may be filled at any time by the Board of Directors. Section 2. Duties of Officers - President. It shall be the duty of the President to preside at all meetings of the Board. of Directors and to sign all agreements or other instruments of writing on behalf of the District, along with Secretary and Treasurerl to sign all checks or orders directed to the Treasurer for the payment of money and to perform any other duties ordinarily incident to the office. Section 3. Vice-President. In the absence of the President, the Vice-President will perform the duties of the President and such other duties as may be assigned to him by the Board of Directors. Section 4. Secretary. The Secretary shall give due notice of all meetings of the Board of Directors, and shall keep proper books of record for the business of the District as the Directors may prescribe. The Secretary shall register all allotments, contracts, and transfers of the right to use water. The Secretary shall be the custodian of the books and corporate seal of the District and shall perform any and all other duties as are incident to the office. One person may hold the office or offices of Secretary and Treasurer and mayor may not be a member of the Board of Directors. The Secretary may sign checks as authorized by the Board of Directors. -2-
