BY-LAWS
of the
WEST DIVIDE WATER CONSERVANCY DISTRICT

PREAMBLE

The West Divide Water Conservancy District was organized
for the purposes of conserving and developing land and water
resources for the greatest beneficial use of water within the
District boundaries. The District was organized by decree of the
District Court, Ninth Judicial District, in and for Garfield
County, Colorado on April 10, 1964. The District has broad
statutory powers concerning the conservation and utilization of
water resources within its boundaries.

BY-LAWS

The following by-laws were adopted by the Board of
Directors on the 16th day of April, 1986, to govern the operation
and administration of the District.

ARTICLE I.

Section 1. Board of Directors - Organization. Members
of the Board of Directors shall be appointed by the Court or
chosen in the manner provided by "The Water Conservancy Act of
Colorado." The District is presently divided into five geographic
divisions with one Director representing each division. The Board
of Directors is the governing body, authorized to perform the
functions of the District. All Directors must have the
qualif ica tions requi red by s ta tu te and the Decree of the Cour t
establishing the District. A vacancy in the Board of Directors
shall be filled in the manner required by law. A majority of the
Directors shall constitute a quorum for the transaction of
business. Each Director shall reside in and own real property in
the geographic boundaries of the division he represents.

Section 2. Board of Directors Duties and
Responsibilities. It shall be the duty and responsibility of the
Board of Directors to act and be sure the actions of its staff
conform to federal, state, and local statutes and ordinances;
execute legal documents, contracts, and obligations and operate in
conformance to its by-laws and rules and regulations; maintain
accurate minutes of Board meetings and publish accounts and
. proceedings in accordance wi th state laws; establish policy,
appoint officers and outline the duties of each, in writing or as
deemed essen tial; pass upon repor ts of. the Manager, Secretary,
Treasurer and other officers, employees, and staff of the
District; approve budgets; establish water assessments and
charges; audit all bills and accounts of the District; and
exercise general supervision of affairs of the District.
