Meetings of the OfficersiDirectors shall be held as needed or required at the <br />discretion ofthe OfficersiDirectors. <br /> <br />Section 2. <br /> <br />Notice of such regular meeting is hereby dispensed with. <br /> <br />, Section 3. Special meetings of the OfficersiDirectors shall be held when called by any <br />OfficeriDirector of the Association after no Ie,s than three (3) days' notice to each Officer/Director. <br />Hand-delivery of a written document to each Officer/Director or a telephone call to each <br />OfficeriDirector shall constitute notice. <br /> <br />Section 4. Transaction of any busiDess at any OfficersiDirectors meeting, however called <br />and noticed or wherever held, shall be valid as though made at a meeting duly held after regular call <br />and notice if the quorum is present and either before or after the meeting each of the <br />OfficerslDirectors not present signs a written approval to the minutes thereof. All such waivers, <br />consents or approvals shall be filed with the corporate records and made part of the minutes of said <br />meeting. <br /> <br />Section 5. <br /> <br />The majority of the OfficerslDirectors shall constitute a quorum thereof. <br /> <br />ARTICLE vn <br />MEETINGS OF MEMBERS <br /> <br />Section 1. Annual Meeting. The annual meeting of the Columbine Ranches Property <br />Owners Association shall be held on or before the 28th day of February each year. <br /> <br />Section 2. Special meetings of the Members, for any purpose, may be called at any time <br />by the President, the Vice. President, the Secretary, the Treasurer or the Master of Arms or upon <br />written request of the Members who have the right to one-third (1/3) of all votes of the entire <br />Membership. <br /> <br />Section 3. Notice of the meeting shall be given to the Members by the Secretary. Such <br />notice shall include the agenda which will be followed at the upcoming meeting.
