address of each Member appearing on the records of the Association. Each Member shall register
his address \vith the Secretary and notices of such meetings should be mailed to him at such address.
Notice of said meetings shall be delivered not less than ten (10) nor more than fifty (5Q) days before
the date of said meeting. Such notice shall be deemed to be delivered when deposited in the United
States mails addressed to the Member at his address as it appears on the records of the Association
with postage thereon prepaid.

Section 4. Emergency Meetings. In the case of an emergency, the Officers/Directors
may hold an emergency meeting of the Association. Such meeting may be held with three (3) days'
notice if such notice is hand-delivered to eac/:l Member of the Association or via telephone call. A
notice taped to the front door ofa Membe(s /:lome shall constitute hand-delivery if the Member is
absent.

Section 5. The Members and/or proxies present at Annual, Special or Emergency
Meetings shall constitute a quorum for any action govemed by these Bylaws. Any action governed
by the Articles ofIncorporation or by the Covenants applicable to the property shall require such
a quorum as is therein provided. If, however, such quorum shall not be present or represented at any
meeting, the Members entitled to vote thereat shall have power to adjourn the meeting from time
to time, without notice other than announcement at the meeting, until a quorum as aforesaid shall
be present or represented. Unless otherwise specifically provided by the Covenants, the Articles
of Incorporation, these Bylaws or Statute, :Ill matters coming before a meeting of Members,
in person andlor by proxy, shall be decided by a majority of the votes validly cast at such
meeting,

ARTICLE VIII
PROXY

Section I.

At all meetings of Members, each Member may vote in person or by proxy.

Section 2.

All proxies shall be in writing and filed \'vlth the Secretary.

Section 3. Every proxy shall be: revocable and shall automatically cease upon
conveyance by the Member of his Lot.

ARTICLE IX
CORPQRA IE SEAL

Section I. The Association shall have a seal In circular form and within its
circumference the words: COLillvrnINE RANCHES PROPERTY OWNERS ASSOCIATION, INC.
