Each Member shall register <br />his address \vith the Secretary and notices of such meetings should be mailed to him at such address. <br />Notice of said meetings shall be delivered not less than ten (10) nor more than fifty (5Q) days before <br />the date of said meeting. Such notice shall be deemed to be delivered when deposited in the United <br />States mails addressed to the Member at his address as it appears on the records of the Association <br />with postage thereon prepaid. <br /> <br />Section 4. Emergency Meetings. In the case of an emergency, the Officers/Directors <br />may hold an emergency meeting of the Association. Such meeting may be held with three (3) days' <br />notice if such notice is hand-delivered to eac/:l Member of the Association or via telephone call. A <br />notice taped to the front door ofa Membe(s /:lome shall constitute hand-delivery if the Member is <br />absent. <br /> <br />Section 5. The Members and/or proxies present at Annual, Special or Emergency <br />Meetings shall constitute a quorum for any action govemed by these Bylaws. Any action governed <br />by the Articles ofIncorporation or by the Covenants applicable to the property shall require such <br />a quorum as is therein provided. If, however, such quorum shall not be present or represented at any <br />meeting, the Members entitled to vote thereat shall have power to adjourn the meeting from time <br />to time, without notice other than announcement at the meeting, until a quorum as aforesaid shall <br />be present or represented. Unless otherwise specifically provided by the Covenants, the Articles <br />of Incorporation, these Bylaws or Statute, :Ill matters coming before a meeting of Members, <br />in person andlor by proxy, shall be decided by a majority of the votes validly cast at such <br />meeting, <br /> <br />ARTICLE VIII <br />PROXY <br /> <br />Section I. <br /> <br />At all meetings of Members, each Member may vote in person or by proxy. <br /> <br />Section 2. <br /> <br />All proxies shall be in writing and filed \'vlth the Secretary. <br /> <br />Section 3. Every proxy shall be: revocable and shall automatically cease upon <br />conveyance by the Member of his Lot. <br /> <br />ARTICLE IX <br />CORPQRA IE SEAL <br /> <br />Section I.
