Nothing contained in these Bylaws should be <br />construed to prohibit the employment of any Member, Officer or Director of the Association in any <br />capacity whatsoever. <br /> <br />(c) To collect assessments which have been approved by a vote of the majority <br />of the members present in person or by proxy. <br /> <br />(d) To exercise for the Association all powers, duties and authorities vested in <br />or delegated to this Association and not reserved to the membership by other provisions of these <br />Bylaws, the Articles of Incorporation or the Covenants. <br /> <br />(e) To recommend at any time any committees the Association should require, <br />including the Architectural Control Committee and the Irrigation Control Committee, which shall <br />consist of two or more Members and such other persons as the Board shall deem appropriate. These <br />committees shall have such powers and duties as may be delegated by the Board, and each Member <br />shall serve for that period detennined by the Board. The designation and appointment of, and the <br />delegation of authority to, any such committee shall not relieve the Board or any individual Officer <br />of any responsibility imposed upon him by law. <br /> <br />S . ? <br />ectlOn _. <br /> <br />It shall be the duty ofthe Board of Directors to perfonn the following: <br /> <br />(a) To cause to be kept a complete record of all of its acts and corporate affairs <br />and to present a statement thereof to Members at the annual meeting when requested in viTiting by <br />one-fourth (1/4) of all votes of the entire membership. <br /> <br />(b) To supervise all agents, Officers and employees of this Association and to see <br />that their duties are properly perfonned. <br /> <br />(c) To collect dues which have been approved by a vote of the majority of the <br />members present in person or by proxy and to give written notice to each O\\ner of the amount of <br />said dues. <br /> <br />(d) To ensure that all assessments are properly collected in accordance with <br />Article 4, Section C, of the Declaration of Covenants. <br /> <br />-5- <br /> <br />Amended 11/97 <br />
