<br />302.4 <br /> <br />Breach of Contract <br /> <br />Failure of either party to fulfill any responsibilities enumerated in <br />Section 302 ar arising anywhere else in the Contract shall constitute a <br />breach of this Contract. <br /> <br />303.1 <br /> <br />303. SUBCONTRACTORS <br /> <br />De fi n it ion <br /> <br />303..2 <br /> <br />303.3 <br /> <br />303.4 <br /> <br />303.'i <br /> <br />An individual, firm or corporation having a direct cont"act with the <br />Contractor or with any other Subcontractor for performance of a part of <br />the Projec t. <br /> <br />Owner Approval <br /> <br />After bid opening but before the Bidder receives Notice of Award of the <br />Contract and before execution of the Owner-Contractor Agreement, the <br />Bidder shall submit to the tngineer a written 1 ist of all intended <br />Subcontractors and major suppliers. If the Owner/Engineer has any reason- <br />able Objections to any of those listed, they shall state such objection <br />and the basis therefor in writinCj to the Biddet". The Eng"ineer shall <br />state his approval or rejection within ten (10) days of the Bidder's <br />submission. The Bidder shall then submit the name of a substitute for <br />approval to the Engineer. Rejection on the basis of reasonable objection <br />shall not be the basis for an increase in price or extension of time <br />under the Contract. The Contractor shall employ only those Subcontractors <br />and major suppliers of material to whom the Owner has no reasonable <br />Objection. <br /> <br />Contractor's Objections <br /> <br />The Contractor shall not be forced tc contract liith anyone to whom he <br />has a reasonable objection. <br /> <br />Extent of Subcontractors <br /> <br />The Contractor may not award subcontracts in excess of fi fty percent <br />(50%) of the Contract Price without the written consent of the Owner. <br /> <br />Contractor-Subcontractor RelationshiQ <br /> <br />The Contractor-Subcontractor Agreement shall give the Cont:~actor the <br />Same rights and duties toward the Subcontractor that the Owner has <br />toward the Contractor. Nothing in the Contractor-Subcontractor Agreement <br />shall prejudice the rights of the Owner toward the Contractor for work <br />omitted or improperly performed. The Contractor shall be liable to the <br />Owner for the errors, omissions and defective Work of the Subcontractor <br />or any of his employees. Nothing in this Contract is meant to create <br />any privity or agency between the OINner and the Subcontractor. <br /> <br />GC - 6 <br />
