<br />WHEREAS, the Contractor is capable and desires to perfoml the seirvices, <br /> <br />NOW THEREFORE it is agreed that: <br /> <br />1, Scope of Work - The Contractor agrees to carry out the scop'~ of work described in each of <br />its application packages for emergency manage'l11ent related activities, as approved by the <br />State in its grant award leUer, and to do so in conformance with this contract and applicable <br />federal and state laws, lrules, and regulations pertaining to each specific grant. Grant <br />applications and award letters will become a part of this contract until such time as the grant <br />is closed out. <br /> <br />2. Time of Performance - This contract shall ce>rnmence on . JULY 28. 1997 and shall <br />continue for a period of fiVE. years as long as the State continue,s to designate the Contractor <br />as an eligible recipient of funds and continues to m,~ke an allocation of funds to IhEl Contractor. <br />Grant award letters for eaGh specific glllnt will identify the performance period for that grant. <br /> <br />3. Compensation and Method of Payment - The State agmes to pay the Contractor in <br />consideration for the work and services to be peli'ormed an amount as specified in the grant <br />award letter. Payment to, be made to the Contmctor on a qu,arterly basis unless otherwise <br />indicated, based on an invoice summarizing those legitimately incurred e:<penses. The <br />Original supporting documElntation will be maintained by the Contractor. State warrant will be <br />issued for reimbursement of eligible expenses. <br /> <br />4. AccountinQ - At all times, from the effective date of this C'.ontract until completion of this <br />project, the Contractor shall maintain properly segregated bo,oks of State f~'nds, matching <br />funds, and other funds associated with this pwject. Contr.lctor shall be responsible for <br />accounting for and reporting on any required match funding as indicated in the grant award <br />letter. Records shall be m.lintained in aCf'..ordance with applicable local and State procedures, <br />and appropriate OMS circulars. <br /> <br />5. ReportinQ - The Contracto,' shall meet all reportin", requirements in accordanc,e with the then <br />current program policies, and any subsequent forms and related! program policies as required <br />by the federal govemment or the State Division of l.ocal Govemment (OEM). <br /> <br />6. Audit ReQuirements - The Contractor must follow the financial and compliance audit <br />requirements of OMS Circular A-128 or A.133, whichever is applicable, adhering to the most <br />current version of the circular. The audit must be performed by la Certified Public Accountant, <br />or a licensed public accoulntant. Audit reports are, due yearly. The Contractol.s audit period <br />will be January 1 through ~lecember 31. Three ce'pies of each audit report shall be provided <br />to the State by the Contractor no later than 180 days after thEl end of the audit period. No <br />grant of funds under an approved project will be closed until a financial and compliance audit <br />are received covering the entire project period. The State may withhold up to 10 percent of <br />the grant funds pending reiceipt of such audits. <br /> <br />7, Personnel- The Contractor shall perform its dutiE':s hereunder as a Contractor and not as an <br />employee. Neither the Contractor nor any agent or employee of the Contrac~or shall be or <br />shall be deemed to be an agent or employee of thE' State. Contractor shall pay, when due, all <br />required employment tax'ls and income tax withholding, sh~11I provide and keep in force <br />worker's compensation (and show proof of such insurance or self-insurance), and <br />unemployment insurance iln the amounts required by law, and :shall be solely responsible for <br />the acts of the Contractor, its employees, and a~I'~nts to the e)~ent applicable. <br /> <br />Page...l. of ..JL Pages <br />
