WHEREAS, the United States Army Corps of Engineers, herein-

after referred to as the Corps, has formulated plans and designs

to improve the flow of water in the channel of the South Platte

River, hereinafter referred to as the River, in the County of

Arapahoe in the State of Colorado, through a construction project

known as the Platte River Channelization Project hereinafter

referred to.as the Project; and

WHEREAS, as project sponsor, the State must purchase or

otherwise acquire easements, rights-of-way, and other interests

in property which are necessary for construction of the Project;

WHEREAS, the Grantee wishes to purchase and the Grantor is
willing to convey the hereinbefore described temporary Diversion

Easement and Temporary Fill Easements;

NOW THEREFORE, it is hereby agreed that:

1. For and in consideration of the payment hereinafter

stated and the keeping of the cov~nants and agreements hereinafter

expressed, Grantor hereby grants and conveys to Grantee three (3)
