<br />555 <br /> <br />and :its Director, and to advise them and each of <br />them on such legal matters as may from time to time <br />arise in connection with the work of the first party. <br /> <br />2. To represent first party as its legal representative <br />and attorney in any and all conferences, hearings <br />and trials in which first party is involved or has <br />an interest, upon the request of first party, or its <br />Director. <br /> <br />1 <br /> <br />3. To give first party's work precedence over all mat- <br />ters and to be ready to represent and advise first <br />party at the time and places indicated by first party, <br />or its Director. . <br /> <br />During the term of this agreement, first party agrees as <br />follows: <br /> <br />I. To pay to second party, as compensation for said legal <br />services, the sum of Six Thousand Dollars ($6,000.00), <br />payable in twelv.e monthly installments of Five Hun- <br />dred Dollars ($500.00) each; provided, however, that <br />the second party shall be entitled to additional com- <br />pensation, on a per diem basis, for representing the <br />State of Colorado in litigation, the amount of such <br />additional compensation shall be agreed upon between <br />the parties hereto. <br /> <br />2. To pay, in addition to said principal sum, any and <br />all necessary travel expenses and sustenance which <br />said second parly may incur when traveling on first <br />party's business. <br /> <br />This contract is per"sonal in character and cannot be trans- <br />ferred or assigned by either contracting party. <br /> <br />Time is of the essence of this contract throughout. <br /> <br />This contract shall not be deemed valid until it shall have <br />been approved by the controller, or such assistant as he <br />may designate. <br /> <br />All payments to second party shall be made from funds ap- <br />propriated to the use of first party, and none other. <br /> <br />This agreement may be terminated by either party hereto <br />upon thirty (30) days written notice. <br /> <br />1 <br /> <br />Signed, sealed and delivered at Denver, State of Colorado, <br />the day and year first above written.' <br /> <br />MR.
