EXHIBIT A

1. Same of Services

The Project consists of converting three residential homes, located in the Contractor's water service area, into model
water- efficient homes. The Project will provide residents with three visual examples of indoor and outdoor water
conselV3tion measures and possibilities to achieve water and money savings. Water efficient plumbing devices will
be installed indoors and landscapes will be remodeled to meet water efficient criteria. The Contractor will enlist the
sponsorship of local vendors and landscape professions as project participants. Acquisition of device installation and
landscape labor will be accomplished through sponsorship.

Through promotions and advertising the Contractor will solicit residents to participate in the home conversion.
Interested residents will be screened and interviewed for selection of the final three homes. The Contractor will
determine the specific plumbing fucturcs to be installed by a qualified plumber and will facilitate the redesign of each
landscape. After the conversion, the Contractor will publicize the availability of homes for public viewing.

Throughout the Project the Contractor will produce four (4) newsletters and send to all residents. The newsletters
.... will include a Project update, data pertaining to water use reduction, water billing information, and general water
conservation tips.

The Contractor will develop an incentive credit plan based on the water savings results of various plumbing fIXtures
and measures implemented in the model homes. The Contractor will develop a water-use efficiency rating scale for
various water conselV8tion practices and devices. InstaUation of specific flXtures, devices or practices will be
determined as eligible for customer credit. The incentive credit plan will be publicized and water billing credits will
be offered to customers after proof of purchase or installation of devices is provided. The incentive credit plan will
be operated similar to popular toilet rebate programs but will be expanded to include devices and practices.

The Contractor will monitor water use following the home conversions and compare to previous water use
information. Participation in the incentive credit plan will also be monitored. This information will then be anaLyzed
for inclusion in an Interim Report and a Final Report. The Interim Report shall include a summary of the home
conversions, discussion of participants, water use comparison and analysis, summary of community perceptions,
findings and results. The Final Report shall include a full project summary, discussion of parties involved including
c;ponsors and selection of model homes, water use comparison and analysis, discussion and findings of the water-use
efficiency rating, discussion of the development of the incentive credit plan, project findings and results. The Final
Report will conclude project results and will serve as information to be shared with other Colorado communities.

2. Proiect nme of Performance

The Project will commence on July 24, 1992, or upon full and proper execution of this Contract.

The Project will be completed on or before January 31, 1995. However, the Project time of completion may be
extended subject to the mutual agreement of the State and Contractor. A written request for extension shall be
submitted to the State by the Contractor at least thirty (30) days prior to January 31, 1995 and shall include a full
justification for the extension request.

Page 1 of 2 Pages
