SECTION 5 - Special assessments to fund construction or other major expenses may be determined necessary by the Executive Board. Executive Board shall have the power to set special assessments as required for the continued operation of the lateral. ARTICLE VI — NOMINATIONS AND ELECTIONS SECTION 1- The number of the Executive Board shall be three, which shall be elected at an annual meeting each year. Nominees shall be picked from the membership. SECTION 2 - Any amount of nominations will be accepted at the annual meeting. SECTION 3 - The MAJORITY vote of the membership present including the officers will constitute a quorum at the regular meetings and constitute a legal election at the annual meetings. SECTION 4 - All members must be notified in writing of the annual meetings. Proxy votes are acceptable if signed by the member casting the vote. ARTICLE VII — MEMBERSHIP AND DUES SECTION 1- Membership in the Twenty Two Road Lateral Company will be retracted upon the sale of the property affected and membership to new owners can be transferred. SECTION 2 - New members will be accepted upon purchase of existing property or on property having been divided which creates new ownership of existing property, provided boxes, gates, or any other structures have been installed to accommodate this property previously. a And providing the ditch is available to the property. SECTION 3 - The maximum shares allowed in the Twenty Two Road Lateral shall be 318 shares. ARTICLE VIII — MEETINGS SECTION 1- The Annual meeting shall be held once a year for the purpose of electing officers for the coming year and setting procedure for the coming year. SECTION 2 - Meetings shall be at the discretion of the President, or at any time deemed necessary by Presidential order. SECTION 3 - Any alterations or amendments to the by -laws will require the approval of 2/3 of the eligible members. Notices of such proposed changes shall be sent out no less than 1 week preceeding the date. In the event that a member does not send in or cast their vote it will be proxied to the pleasure of the Board. SECTION 4 - All Amendments and additions shall be typed out by the Secretary and signed by the Executive Board and attached to the original copy of the by -laws.
