SECTION 5 - Special assessments to fund construction or other major expenses may be determined <br />necessary by the Executive Board. Executive Board shall have the power to set special <br />assessments as required for the continued operation of the lateral. <br />ARTICLE VI — NOMINATIONS AND ELECTIONS <br />SECTION 1- The number of the Executive Board shall be three, which shall be elected at an annual <br />meeting each year. Nominees shall be picked from the membership. <br />SECTION 2 - Any amount of nominations will be accepted at the annual meeting. <br />SECTION 3 - The MAJORITY vote of the membership present including the officers will constitute a <br />quorum at the regular meetings and constitute a legal election at the annual meetings. <br />SECTION 4 - All members must be notified in writing of the annual meetings. Proxy votes are <br />acceptable if signed by the member casting the vote. <br />ARTICLE VII — MEMBERSHIP AND DUES <br />SECTION 1- Membership in the Twenty Two Road Lateral Company will be retracted upon the sale <br />of the property affected and membership to new owners can be transferred. <br />SECTION 2 - New members will be accepted upon purchase of existing property or on property <br />having been divided which creates new ownership of existing property, provided boxes, <br />gates, or any other structures have been installed to accommodate this property <br />previously. a And providing the ditch is available to the property. <br />SECTION 3 - The maximum shares allowed in the Twenty Two Road Lateral shall be 318 shares. <br />ARTICLE VIII — MEETINGS <br />SECTION 1- The Annual meeting shall be held once a year for the purpose of electing officers for the <br />coming year and setting procedure for the coming year. <br />SECTION 2 - Meetings shall be at the discretion of the President, or at any time deemed necessary by <br />Presidential order. <br />SECTION 3 - Any alterations or amendments to the by -laws will require the approval of 2/3 of the <br />eligible members. Notices of such proposed changes shall be sent out no less than 1 <br />week preceeding the date. In the event that a member does not send in or cast their <br />vote it will be proxied to the pleasure of the Board. <br />SECTION 4 - All Amendments and additions shall be typed out by the Secretary and signed by the <br />Executive Board and attached to the original copy of the by -laws. <br />
