ARTICLE IV — DUTIES OF OFFICERS <br />SECTION 1- PRESIDENT: It shall be the duty of the President to preside at all meetings, to <br />Reapproved appoints committees and their members. Make reasonable decisions in an <br />emergency situation, to generally manage the Company in accordance with the best <br />interests of the majority of the members, with the help of the Executive Board. He shall <br />sign the Company checks along with the Treasurer and Secretary. <br />SECTION 2 - SECRETARY: Shall assist the President as a member of the Executive Board. Keep the <br />records of all proceedings of regular and executive meetings. Take care of all Company <br />correspondence under the direction of the President. Shall sign all Company checks <br />along with the President and Treasurer. <br />SECTION 3 - TREASURER: Shall assist the President as a member of the Executive Board. Shall take <br />care of all funds of the Twenty Two Road Lateral Company. Be prepared to give a <br />financial statement when asked. Shall sign all Company Checks with President and <br />Secretary. Shall deposit all monies at such depository as shall be designated by <br />Executive Board. Shall turn over all monies, papers, books and belongings to the <br />Company at the end of the elected term. <br />SECTION 4 - THE EXECUTIVE BOARD: Consisting of President, Secretary and Treasurer shall execute <br />all Company business in compliance with the wishes of the majority of the members, <br />and in the best interests of all the members and shall be authorized to sign all Company <br />checks and authorized to approve all expenditures for the Company. <br />SECTION 5 - No Husband and Wife may serve on the Executive Board at the same time. <br />SECTION 6 - Only one vote shall be counted from each household, unless they own land under the <br />ditch in separate parcels. <br />ARTICLE V — FINANCES <br />SECTION 1- Any reimbursement of funds obtained from new membership shall be deposited by the <br />Treasurer in an authorized depository. <br />SECTION 2 - Persons applying from membership shall be charged in accordance with the decision of <br />the regular board members with approval of the Executive Board. <br />SECTION 3 - Decisions for new members will be based on the cost factor of maintenance, <br />construction, repairs, space available, number of water shares being considered and <br />availability of ditch to the property. <br />SECTION 4 - Annual dues will be collected for the purpose of funding maintenance, emergency <br />repairs, and administrative expenses. Dues shall be set at each annual meeting. Dues <br />shall be due upon receipt of invoice and delinquent 30 days after billing. Delinquent <br />dues will be charged interest at the rate of 1.5% per month until paid. At the <br />recommendation of the Board, a lien may be filed against the property of delinquent <br />water users. <br />2 <br />
