8. Action to terminate this MOU may be taken by <br />affirmative vote of a majority of the Steering <br />Committee. <br />SCHEDULE FOR ADVANCEMENT OF FUNDS <br />7. Prior to initiation of said services, the Cooperating <br />Partners shall advance to Reclamation funds in the amount of <br />$100,000. Upon receipt of the Cooperating Partners funds, <br />Reclamation shall supplement such funds by $90,000 and make the <br />combined funds available for expenditure for development of the <br />program plan. <br />ACCOUNTING OF FUNDS <br />8. A separate account shall be maintained by Reclamation for all <br />work items financed with funds received from the Cooperating <br />Partners. These accounts and records shall be available for <br />inspection, audit, and reproduction by the Parties without charge <br />during normal business hours. <br />CHANGES AND DISPUTES <br />9. a. Should disputes arise, representatives from the Parties <br />shall attempt to resolve the situation in good faith. Changes to <br />this Agreement shall be in writing and executed by all Parties. <br />10. Liability o <br />of its employees <br />(28 U.S.C. 2571, <br />that the Federal <br />coverage for the <br />lieu of ordinary <br />LIABILITY <br />f the United States resulting from the negligence <br />shall be governed by the Federal Tort Claims Act <br />et sea.). The Cooperating Partners recognize <br />Tort Claims Act operates to provide 'Liability <br />United States Government and its employees in <br />insurance coverage. <br />COMMENCEMENT AND COMPLETION OF SERVICES <br />11. a. The coordinating representatives shall provide input <br />for, and review major features of the program plan, include plan <br />concept, activities, costs, schedules, and any other item or <br />proposed decisions that will have a direct impact on the proposed <br />program. Reclamation shall expeditiously proceed with the work <br />described in the Scope of Services in Attachment A. The final <br />decision on all aspects of development of the program plan shall <br />rest with Reclamation. Reclamation, as project manager, shall <br />pursue the work diligently with an objective to meeting the <br />5 <br />
