a vote is unnecessary. However, in the event a <br />decision must be made by vote of the Steering Committee <br />members, each representative on the Steering Committee <br />shall be entitled to a vote equal in weight to each of <br />the other representatives. A unanimous vote of the <br />Parties present at a meeting will be required to <br />approve or disapprove action by the Steering Committee <br />except as provided in Article 6.b.8. <br />5. Any vote of the Steering Committee may be taken in <br />an assembled meeting or, upon consent of all Parties, <br />after the representatives have had an opportunity to <br />consult with one another, by telephone, telegraph, <br />telex, letter, or by any combination thereof. <br />6. When a vote of the Steering Committee is taken, all <br />representatives entitled to a vote shall be given an <br />opportunity to vote. <br />b. The Steering Committee shall have the following duties <br />and responsibilities, as well as other duties which it may from <br />time to time agree to undertake: <br />1. Monitor the progress and completion of the Program <br />Plan. <br />2. Provide liaison among the Parties and the Project <br />Manager with respect to development of Program Plan. <br />3. Review, discuss, and attempt to resolve any <br />disputes among the Parties arising under this MOU. <br />4. Provide direction to the Project Manager with <br />respect to the development of the Program Plan. <br />5. Review, modify, and act upon recommendations of the <br />Project - Manager, including changes to the budget, <br />schedule, scope of work, and termination date. <br />6. Review and comment on drafts of documents developed <br />for the Program Plan. The Project Manager shall <br />consider incorporating, as directed by the Steering <br />Committee, all comments in preparing the final <br />documents. Drafts of documents shall be released to <br />the public only as directed by the Steering Committee <br />or as required by law. <br />7. Perform any and all other functions required for <br />the completion of the Program Plan. <br />4 <br />
