There are no provisions in the articles of incorporation, amendments thereto or <br />the bylaws of JWBRC which prevent Loan Contract C 150290 from binding JWBRC. <br />E. Loan Contract C 150290 will be valid and binding on JWBRC if entered into by <br />the CWCB. <br />In rendering the foregoing opinions I have assumed the legal capacity of all natural <br />persons executing the Loan Documents. <br />I am qualified to practice law in the State of Colorado, and I do not purport to express <br />any opinion concerning any law other than the law of the State of Colorado and applicable <br />federal law. <br />The opinions expressed in this letter are based upon the law in effect on the date hereof, <br />and I assume no obligation to revise or supplement this opinion should such law be changed by <br />legislative action, judicial decisions, or otherwise. <br />This opinion is being furnished to the CWCB solely for the benefit of CWCB and its <br />successors and assigns with respect to Loan Contract C 150290, and only with respect to such <br />Loan.
