Bowles Reservair Company <br />Dear Ladies and Gentlemen: <br />This tirm is counsel to The Joseph W. Bowles Resc;rvoir Company, a Colorado mutual <br />ditch company ("JWBRC"). In such capaeity, I have made such legal inquiries as I have <br />deemed necessary f'or the purpose of rendering this opinion. I have examined and am familiar <br />with originals or copies, certified or otherwise identified to iny satisfaction, of such documents, <br />records and other instruments as I have deemed necessary in connection with the furnishing of <br />this opinion to the Colorado Water Conservation Board ("CWCB") and the State of Colorado <br />in conjunetion with the captioned Loan ("Loan"). <br />Based upon and subject to the foregoing, it is my opinion that: <br />A. JWI3RC is a mutual ditch company which is duly organized, validly existing and <br />in good standing under the laws of the State of Colorado. JWBRC has the requisite power and <br />authority to execute and deliver the documents evidencing the Loan as more fully described on <br />the Schedule of Loan Documents attached hereto (the "Loan Documents"). <br />B. T'he I,oan Documents have been duly executed by the officers of JWBRC, who <br />have been properly authorized to execute, deliver and perforni the Loan Documents, and to bind <br />J WI3RC, by all requisite action on the part of JWBRC, its duly elected Board of Directors and <br />its shareholders pursuant to the resolutions included in the L,oan Documents. <br />C. Zhe "Resolutions of Shareholders"' and "Resolutions of the Board of Directors" <br />included in the I.oan Uocuments were duly adopted, respectively, by the shareholders and Board <br />of Directors ofJWBRC at meetings duly call�d and noticed in accordancc �tith the requirelnents <br />of� the bylaws, and there was a quoruin present at each of such mcetings. <br />
