CA04016 <br />6. Mutual Cooperation and Consultation. The parties agree to fully cooperate with each <br />other in the fulfillment of their rights and obligations under this Agreement. The parties <br />agree to hold periodic meetings to discuss the status of the Project and any concems or <br />issues that need to be addressed. <br />7. Insurance. <br />A. Summit County shall insure Old Dillon Dam and Reservoir as it deems <br />appropriate. <br />B. Both parties shall carry general liability insurance in the amount of $1,000,000.00 <br />exclusive of defense costs. <br />8. Records. The parties shall provide each other with access to all records reasonably <br />required for the implementation of this Agreement. <br />9. Indemnification and Liability. <br />A. To the extent authorized by law, during the term of this Agreement and thereafter, <br />the River District and Summit County shall indemnify, save, and hold harmless <br />each other, their contractors, employees, officers, and agents against any and all <br />claims, damages, liability, and court awards, including costs, expenses, and <br />attorneys fees incurred as a result of any act of omission by the River District or <br />Summit County, respectively, or their contractors, employees, agents, officers, or <br />agents pursuant to or in the implementation of this Agreement. <br />B. Nothing in this Agreement waives or is intended to waive any protections that <br />may apply to the parties under the Colorado Governmental Immunity Act, C.R.S. <br />§ 24-10-101, et seq., or any other law. <br />10. Notice. Any notice made pursuant to this Agreement shall be deemed to have been given <br />when mailed, postage prepaid, or hand-delivered to the parties at the following addresses: <br />A.
