CA04016 <br />4. River District's Rights and Responsibilities. <br />A. Project Management. The River District shall manage all aspects of the Project in <br />consultation with Summit County, including contracting with outside consultants <br />and/or contractors to perform analyses, evaluations, engineering, construction, or <br />other necessary activities, for a management fee equal to ten percent (10%) of a11 <br />invoices submitted for outsourced work related to the Project. <br />B. The River District shall pay all invoices from outside consultants and contractors <br />retained to perform work related to the Project and submit those invoices to <br />Summit County for reimbursement. The River District may submit invoices to <br />Summit County monthly for work related to the Project. <br />C. The River District shall be entitled to assign a portion of the R.iver District's rights <br />and obligations under this Agreement to the River District's General Fund or <br />Capital Fund. <br />Summit Countv's Riehts and Resnonsibilities. <br />A. Costs and Expenses. Summit County shall pay all costs and expenses of the <br />Project that are related to any approved Work Order, plus a management fee to <br />the River District equal to ten percent (10%) of all invoices submitted for outside <br />consultants and contractors retained to perform work related to the Project. <br />B. Payments. Summit County agrees to pay all invoices submitted by the River <br />District, plus the ten percent (10%) management fee, within thirty (30) days of <br />receipt of any invoice. Summit County may use funds contributed by outside <br />parties, but shall remain directly responsible to the River District for payment of <br />the management fee and all invoices submitted in connection with the Project. <br />C. Participation by Others. Summit County shall enter into agreements with Dillon <br />and Silverthorne to establish their participation in the Project, obtain their <br />agreement to contribute any necessary resources to the Project, and obtain a right <br />of access to the Old Dillon Reservoir property by the River District's employees, <br />agents, consultants, and contractors to conduct activities necessary for the Project. <br />D. Land Acquisitions. Summit County shall obtain any interests in land that are <br />necessary for the Project. <br />E. Permits. Summit County shall be the applicant for any permits that are necessary <br />for the Project.
