� <br />(b) Vice President. The Vice President shall act in the place and stead of the <br />President in the event of his absence, inability or refusal to act, and shall exercise and <br />discharge such other duties as may be required of him by the Board. <br />Section 8.7 Secretarv-Treasurer. The Secretary-Treasurer shall administer and keep <br />up to date the books, records, documents and seal of the Club. The Secretary-Treasurer shall <br />keep a record of the proceedings of the meetings of the Members and of the Board of Directors . <br />and shall provide copies of +.hP *n;r upon request and shall serve all notices.upon the <br />Members as required by the Governing Documents. The Secretary-Treasurer shall keep proper <br />account books, including a current roster of the Members; serve as a custodian of the Club funds; <br />collect all sums of money owed to the Club and deposit such funds in the name of the Club in. <br />such bank accounts as the Board of Directors shall direct; disburse and account for all sums of <br />money and expenditures of the Club, as authorized by the Board of Directors. The Secretary- <br />Treasurer shall co-sign checks and promissory notes, execute any contracts, agreements, or other <br />instruments, as directed, on behalf of the Club; repoi i the names of the delinquent members; and <br />hire any outside services that may be required to fulfill the duties of Secretary-Treasurer, as <br />authorized by the Board of Directors. <br />Section 8.8 Dele�ation. The dutics of any Officer may be delegated to another Boazd <br />Member or a Mana;er; provided, however, the Officer shall not be relieved of any responsibility <br />under this Section or under Colorado law. <br />Section 8.9 Compensation. No Officer, except the Secretary-Treasurer, shall receive <br />compensation for any service he or she may rende� as an Officer of the Club. Compensation to <br />the Secretary-Treasurer shall be determined by the Board of Directors. Any Officer may be <br />reimbursed for actual expenses incurred in the performar.ce of Club duties. <br />A.RTICLE 9. COMMITTEES <br />Section 9.1 Desi�nated Committees. The President may appoint an Architectural <br />Review Committee as permitted in the Declaration; a membership committee; a Maintenance, <br />Safety and Fire Prevention Committee; an entertainment committee; a nominating committee; an <br />auditing/financial committee; and such other committees as deemed appropriate in canying out <br />its purposes. Committees shall have authority to act only to the extent designated in the <br />goveming documents or delegated by the Board. <br />ARTICLE 10. <br />Section 1 Q.1 <br />the following records: <br />BOOKS AND RECORDS <br />Records.
