ARTICLE 8. OFFICERS AND THEIR DUTIES <br />Section 8.1 Enumeration of Offices. The officers of this Club shall be a President, <br />Vice President and Secretary-Treasurer, who shall at all times be members of the Board of <br />Directors. . . <br />Section 8.2 Election of Officers. The President, Vice President and Secretary- <br />Treasurer shall be elected by the Voting Members at the annual meeting. The Officers may be <br />elected from Directors currently serving seven year terms or from the membership, for a term of <br />one year. Any Officer who is also serving a seven (7) year term as a Director shall serve as an <br />Officer for a concurrent term of one (1) year and may be elected to subsequent terms as an <br />Officer on a yearly basis, but service as an Officer shall in no ., u extend or shorten the seven (7) <br />year term which the Director is serving. Any Officer who is elected from the membership shall <br />serve a one (1) year term and may be elected to subsequent terms as an Officer on a yearly basis <br />or as a Director for a seven year term. - <br />Section 8.3 Special Offices. Special Offices may be created from time to time by <br />resolution of the Board of Directors as the affairs of the Club may require, each of whom shall <br />hold office for such period, have such authority, and perform such duties as the Board may, from <br />time to time, determine. The Board of Directors shall have the authority to appoint Members to <br />such Special Offices and such Members are not required to be Directors. Anv Special Offices <br />created by resolution of the Board may be held by the same person. Members holding Special <br />Offices created by the Board of Directors shall not be entitled.to vote on issues coming before <br />the Board unless such Members also hold positions as either llirectors or Officers. <br />Section 8.4 Resi�nation and Removal. Any Officer may be removed from office in <br />the same manner as Directors are removed in Article 7. Special Officers appointed by the Board <br />of Directors may be removed with or without cause by a majority of the Board of Directors. Any <br />Officer or Special Officer may resign at any time by giving written notice to the Board, the <br />President or the Secretary. Such resignation shall take effect on the date of receipt of such notice <br />or at any later time specified therein. Acceptance of such resignation shall not be necessary to <br />make it effective. <br />Section 8.5 Vacancies. A vacancy in any office may be filled by appointment by the <br />Board by majority vote of the Board. The Officer appointed to such vacancy shall serve for the <br />remainder of the term of the Officer he replaces. <br />Section 8.6 Duties. The duties of the Officers are as follows: <br />(a) President. The President shall have all of the general powers and duties <br />which are incident to the office of president and chief executive officer of a Colorado <br />nonprofit corporation including, but not limited to the following: preside at all meetinJs <br />of the Board of Directors; appoint committees; see that orders and resolutions of the <br />Board are carried out; sign all leases, mortgages, deeds and other written instruments and <br />co-sign checks and promissory notes. <br />�: <br />i l W:\C1.IEN'I�Kenosha Trout Club\Bylaws.
