.. 10/15/98 11 :04 AM ADP Contract STANDARD FORM OF AGREEMENT BETWEEN THE CITY OF CANON CITY AND ASSOCIATED DESIGN PROFESSIONALS, INC. FOR PROFESSIONAL SEIRVICES (Floodplain Delineation Study for Fourmile Creek and Mud Gulch) This AGREEMENT made this day of , 1998, but effective retroactively to , 1998, by and between Associated Design Professionals, Inc., (ADP) and the City of Cation City, Colorado, a home rule municipal corporation, (OWNER). SECTION 1 - BASIC SERVICES OF ADP 1.01 BASIC SERVICES ADP shall provide for OWNER those certain professional engineering services to be performed by the "ENGINEER" that are generally outlined in the "INTRODUCTION" to the Request For Proposal ("RFP") issued by OVVNER during the week of September 15, 1998, a copy of which is incorporated herein by this reference, in accordance with the specific terms, provisions and requirements set forth in the "Scope of Work" set forth in the RFP and repeated in Exhibit A to this Agreement. SECTION 2 - ADDITIONAL SERVICES OF ADP 2.01 NO ADDITIONAL SERVICES WITHOUT WRITTEN ADDENDUM If OWNER desires for ADP to perform and if ADP agrees to perform Additional Services which are not included among the basic: services described or referred to in Section 1, the parties shall describe such services in writing. The compensation to be paid therefor shall be calculated in accordance with the terms of Exhibit C. SECTION 3 - OWNER'S RESPONSIBILITIES 3.01 OWNER'S RESPONSIBILITY A. OWNER shall be responsible to provide those services and/or items enumerated in Exhibit B, attached to, made a part of and incorporated by reference into this Agreement. B. OWNER shall provide the items in Exhibit B that are in OWNER's possession or control on the effective date of this Agreement in a timely manner so as not to delay the services of ADP. It is understood and agreed that OWNER is not obligated hereunder to provide any item listed on Exhibit B which is not in the possession or control of OWNER.
