~ .! 10/15/98 I 11 :04 AM ADP Contract SECTION 4 - PERIOD OF SERVICE AND SCHEDULING 4.01 PERIOD OF SERVICE A. The provisions of this Section 4 and the various rates of compensation for ADP's services provided for elsewhere in this Agreement have been agreed to in anticipation of the orderly and continuous progress of the Project. In Exhibit F, specific milestone dates by which services are to be completed are provided. If such dates are exceeded through no fault of ADP, all rates, measures and amounts of compensation provided herein shall be subject to equitable adjustment. If such dates are not met due to the fault of ADP, the compensation payable to ADP will be subject to equitable adjustment. 4.02 SCHEDULE OF PHASE(s) A. Services called for will be completeq within the stipulated period indicated in Exhibit F after written authorization to proceed has been given by OWNER. 4.03 SCHEDULE ADJUSTMENTS A. If OWNER has requested significant modifications or changes in the general scope, extent or character of the Project, the time of performance of ADP's services shall be adjusted equitably. SECTION 5 - PAYMENT . 5.01 MAXIMUM FEE A. OWNER shall pay ADP for all Basic Services rendered and completed under Section 1 and Exhibit A an amount which shall not exceed the applicable fee set forth hereinbelow, as follows: Element of Basic Services Maximum Compensation I. Floodplain Delineation Study and Report for Fourmile Creek and Mud Gulch $ 17,445.00 B. The Maximum Compensation listed in Paragraph A above contains all costs and expenses for completing the entire Scope of Services. C. If adjustments to the Scope of Services are made by mutual written agreement of the parties, the maximum compensation payable shall be adjusted and be set forth as a part of such written agreement. When such amendments are made, the maximum compensation amount set forth in such amendment shall then and thereafter apply with respect to ADP's compensation. 2
